Terms of Service

About Us:

Goods2Load’s website (https://goods2load.com/) and all services or functionality or technology provided by Goods2Load currently existing or developed in the future (collectively, our “Platforms”) are owned and managed by the company GOODS2LOAD FZ-LLC, having its registered office in Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, having license number 47010212 (“Goods2Load”, “we”, “us”).

Goods2Load is an online platform which provides transportation (flights, ships, trucks) comparison services. Users can find relevant Transportation Providers by applying various filters for carrying out comparisons including but not limited to industry-wise solutions (such as Pharmaceuticals, Electronics, Automotive, Manufacturing & Retail, Exhibition & Interior Design, Apparel & Fashion, E-commerce, Food & Beverage, Energy), transport solutions (like Cold Chain, Dangerous Goods, High-Value Goods, Last Mile Delivery, Project Cargo, General Solutions), additional services (including White Glove Services, E-commerce Fulfillment, Heavy Equipment Logistics, Cross-Border Expansion), and other criteria such as Best Reviewed, Carbon Offset, and Industry Recognition (“Services”) to small and medium enterprises throughout the world (provided the Transportation Providers registered on our Platforms operate in such location) via our Platforms. Goods2Load connects users with independent third-party Transportation Providers, independent transportation agents, airlines, cargo, operators or other third parties (“Transportation Providers”). Goods2Load is not a transportation agent or provider. While Goods2Load facilitates the interaction between users and Transportation Providers, Goods2Load does not own, operate, or control the transportation services provided and is not responsible for providing, setting or controlling the information provided by any of the transportation options you find via our Services. All such transportation information and options (“Transportation Services”) are provided by the Transportation Providers and any interactions users may have with them are subject to the terms and conditions of those third parties.

Acceptance of Terms:

Any person who accesses and/or uses the Platforms in any manner (“user”,“you” or “your”) or uses any current or future Services or functionality or offer made available on the Platforms will be subject to and governed by these Terms for use of our Services and Platforms, together with our Privacy Policy, Cookies Policy and community guidelines (collectively, “Terms of Usage”). By accessing or using the Services or Platforms, you are confirming that you have read, understood and agreed to be legally bound by the Terms of Usage that may be applicable to the Platforms at the time of your access and usage of the Platforms and which may be updated from time to time. If you do not agree to be bound by these Terms, you may not access or use the Platforms or any Services or should cease to do so immediately.

Please note that we may, from time to time, modify these Terms without notice to you. You can review the most current version of the Terms at any time on this page. Every time you wish to use our Platforms, please check these Terms through the link https:// goods2load.com/terms-of-service to ensure that you understand the terms and conditions that apply at that time. Further, please note that we reserve the right to either change the format and the content of the Platforms or suspend the operation of the Platforms for support or maintenance work, in order to update the content or for any other reason, at any time, and you will be deemed to have accepted any amendments if you continue using our Services or Platforms after the amendments are displayed. If you do not agree to any change to the Terms, you must immediately stop using the Platforms.

In the event that some part of our Services and Platforms impose different terms and conditions on the use of specific services, you will be clearly notified and those terms will operate in place of or together with these Terms as appropriate.

Eligibility:

By agreeing to these Terms and using our Platforms and/or Services in any manner, you represent and warrant that you meet specific eligibility criteria. Your age must be the higher of: (i) 18 years old, or (ii) the age of majority in your relevant jurisdiction. You must be fully competent and possess the necessary capacity to validly enter into this Agreement, and assure that your access to the Platforms or Services has not been disabled or restricted.

You agree to comply with the applicable Laws (as defined herein), as a condition of entering into this Agreement. Your use of the Platforms and Services must be solely for lawful purposes, and you must refrain from engaging in any illegal or fraudulent practices. You affirm that you are not a competitor of Goods2Load and that you do not offer services that compete with those provided by Goods2Load.

Restrictions on Use:

You may only use our Services and Platforms in compliance with applicable Laws and for legitimate purposes. In consideration of you agreeing to these Terms, we grant you a non- transferable, non-exclusive licence to download, access and use our Services and Platforms. We grant this licence subject to you agreeing that you shall not:

  • use our Services or Platforms for any purpose or in any manner which may cause damage to Goods2Load or bring Goods2Load into disrepute;
  • disassemble, reverse engineer or otherwise decompile any software, applications, updates or hardware contained in or available via our Services or Platforms;
  • copy, distribute, communicate to the public, sell, rent or lend our Services or Platforms, or seek to violate or circumvent any security measures in place to restrict your access to or use of our Services or Platforms;
  • use or interfere with our Services or Platforms in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users; introduce onto, or transmit via our Services or Platforms any disruptive or malicious code, virus, worm, or trojan horse, or a ‘denial of service’ or ‘spam’ attack;
  • remove, delete, alter, modify or replace any notices of authorship, trademarks, copyrights, business names, logos or other designations of origin on our Services or Platforms, or pass off or attempt to pass off our Services or Platforms as the product of anyone other than Goods2Load;
  • use any unauthorised automated computer program, software agent, bot, spider or other software or application to scan, copy, index, sort or otherwise exploit our Services or Platforms or the data contained on them. Goods2Load has made a substantial investment in collecting, processing and presenting data of Transportation Providers, and offers access to transportation data on a commercial API basis, so any breach of this provision is a material breach of these terms and Goods2Load reserves the right to take any technical or legal action to detect and restrict unauthorised automated access to our Services and Platforms;
  • use the Platforms or Services to engage in any actions that harm, harass, or infringe upon the rights or privacy of anyone.

Where you sign up to our Services or Platforms with a log-in account or password, you are responsible for keeping the password and log-in details confidential and secure. If you become aware, or suspect for any reason, that the security of your log-in details has been compromised, please let us know immediately.


To the extent that any part of our Services or Platforms is hosted on a third-party website (for example, Meta or another social media website) and there are separate terms of use relating to that website, you agree to comply with those terms and conditions in addition to these Terms.

Sharing information with us:

We take your privacy seriously and operate at all times in accordance with applicable data protection laws. We do not intend to collect any personal or personally identifiable data from users including Logistics Providers, but in the event that any personal data is obtained, such data will be processed according to our Privacy Policy. Any user information or data that is gathered through the Platforms will be strictly for analytical purposes and may also be shared with third-parties as necessary for improving our website functionalities and enhancing our service offerings. You acknowledge that any data which you submit via our Services or Platforms may be used by us in accordance with our Privacy Policy .

To the extent that our Services or Platforms allow users to post, upload, transmit or otherwise make available any information, images, video, or other data with Goods2Load or other Goods2Load users (“User Content”), you agree that:

  • you will ensure that all User Content you provide to us or submit on the Platforms is accurate and up to date and that you have all consents, licenses or approvals necessary to share it, and that it does not violate any laws, the Terms of Usage, or third-party rights and to allow us to use that information;
  • you are responsible for ensuring that any billing information you provide is accurate and that you are authorized to use the payment methods submitted on the Platforms;
  • you are solely responsible for User Content that you upload and you represent and agree that you will not share anything which you do not have the permission or right to share or for which you cannot grant the license;
  • you are responsible for ensuring that any content you submit does not contain personal or sensitive information;
  • although all intellectual property rights in any User Content shall be owned by you or your licensors, you hereby grant Goods2Load a non-exclusive, perpetual and royalty-free, worldwide, transferable and sublicensable right to host, use, reproduce, display, distribute, modify, adapt, publish, translate and create derivative works of all User Content (in accordance with our Privacy Policy) including for analytics, advertising and marketing purposes of our Services and Platforms. For example, we may make User Content available to our business partners for display on their sites. You control the User Content that you upload to the Goods2Load Services and may terminate this license at any time by deleting the User Content or your Goods2Load account. Deleted User Content will be removed from our Platforms.

User Content or other data provided to Transportation Providers is shared "as-is" or as modified (either through human intervention or automated processes), without any guarantees of accuracy in its original or modified form. We assume no responsibility for the data shared with Transportation Providers, and our actions in sharing this data do not imply any infringement of proprietary rights belonging to any party.

Feedback: If you provide us with any suggestions, comments, improvements, ideas or other feedback (“Feedback”), you agree that such Feedback is provided voluntarily and will be deemed non-confidential and non-proprietary. You hereby irrevocably assign ownership of all intellectual property rights subsisting in that Feedback to us, and we reserve the right to use, reproduce, modify, and display the Feedback in any manner and for any purpose, including for improving the Platforms or Services and for marketing. Additionally, you grant us the right to associate your name or personal information provided with the Feedback, for purposes such as attribution or clarification, unless you explicitly request anonymity. Any personal data will be processed in accordance with our Privacy Policy.

Communication:

You authorise Goods2Load (and its authorized agents) to contact you via various communication methods, including but not limited to SMS, phone calls, emails, and WhatsApp, using the contact details you have provided, for matters related to the Services.

User Conduct:

We maintain a zero-tolerance policy towards abusive language or inappropriate behavior directed at us, our Platforms and Services, employees, representatives, or our users and if it is determined that a user engages in such conduct, including the use of offensive language, threats, defamation, or libel, this may be considered grounds for legal and criminal proceedings

Intellectual Property Rights (IPR):

Goods2Load’s IPR: Except as set out elsewhere in these Terms, all intellectual property rights including copyright (including copyright in computer software), patents, trademarks or business names, design rights, database rights, know-how, trade secrets and rights of confidence in our Services and Platforms are owned by or licensed to Goods2Load. You acknowledge that by using the Services or Platforms, you will not acquire any right, title or interest in or to them except for the limited licence to use them granted to you by these Terms. You also acknowledge that you have no right to have access to any of the Services or Platforms in source-code form unless it is released under a license specifically permitting such access.

Third Party IPR: We make no representations regarding the ownership or validity of the IPR posted or provided on our Platforms by third parties. We respect the intellectual property rights of others. If you have reason to believe that your copyright is being infringed by any content on our Services or Platforms, please send a written notification of the alleged infringement to legal@goods2load.com, for the attention of the Legal Department. You acknowledge that we shall not be held liable for any infringement or legal issues related to any alleged or actual infringement of such IPR, including but not limited to copyright, trademark, or patent infringement, by virtue of any representations being made.

Currency:

All listed options shown on the Platforms, or quoted by customer service, are shown as per the user’s choice and preference. The Platforms may include an automated currency conversion tool that relies on third-party data, but we are not responsible for the accuracy of these exchange rates, which are provided solely for reference purposes.

Limitations and exclusions of liability:

Limitation of Liability for Logistics Providers: Goods2Load offers a digital platform that connects users with independent third-party Transportation Providers. While Goods2Load facilitates the interaction between users and Transportation Providers, Goods2Load does not own, operate, or control the Transportation Services provided.

By using the Services, you acknowledge and agree that Goods2Load:

  1. Is not liable for the actions, omissions, services, or failures of any Transportation Provider listed on the Platforms, including, but not limited to, issues regarding the quality, timeliness, safety, or legality of services provided.
  2. Does not guarantee the performance or suitability of any Transportation Provider, and it is the user’s responsibility to independently conduct verification before engaging with any Transportation Provider. Nevertheless, Goods2Load endeavours to procure that the content displayed on or via our Services and Platforms is up-to-date and accurate.
  3. Cannot guarantee that the information displayed on the Platforms are accurate or free from discrepancies as the information is based on data obtained from independent Transportation Providers or relevant third parties. Although Goods2Load always endeavours to, and requires any third parties on our Platforms to display accurate and updated information on the Platforms, sometimes information may be subject to change, update or contain errors beyond our control. Users are encouraged to verify any information directly with the relevant Transportation Provider or other third parties they are interacting with before making decisions or bookings, as Goods2Load accepts no liability for any inaccuracies regarding the information.
  4. Shall not be responsible for any direct, indirect, incidental, special, or consequential damages arising from or related to the Transportation services provided by any Transportation Provider, including but not limited to, loss of goods, delays, or failure of delivery.
  5. Provides no warranties or representations regarding the availability or reliability of Transportation services. All services provided by Transportation Providers are performed at the user's own risk.

Goods2Load does not endorse, warrant, or assume liability for any Transportation Provider's actions or services. Goods2Load is not responsible for any agreements or arrangements you enter into with third parties, including Transportation Providers, as a result of using our Services or Platforms.

If you encounter any problems with any booking you make with a Transportation Provider whom you may have been redirected to through the Platforms, you acknowledge that you must resolve that issue with the relevant Transportation Provider and that your sole remedy in such circumstances, including any refund, lies with the relevant Transportation Provider and not with Goods2Load. The identity of the relevant Transportation Provider and the terms and conditions applicable to your booking with them will be notified to you at the time of booking and you should ensure that you read and fully understand them before completing your booking. The Transportation Provider’s terms should set out what rights you have against the Transportation Provider and will explain their liability to you in the event of anything going wrong

Alerts: Goods2Load offers a "Solution Finder" service that allows users to sign up for alerts and notifications about transportation solutions matching their specified criteria. While we strive to provide accurate and timely information, Goods2Load does not guarantee the availability, suitability, or quality of any Transportation Services identified through this service. Users acknowledge that Goods2Load is not responsible for any loss or damage arising from the use of the Solution Finder service or reliance on the information provided.

Disclaimer of Implied Warranties: Your use of the Services and Platforms is entirely at your own risk. We provide the Services and Platforms on an ‘as is’ basis and expressly disclaim all warranties, conditions and guarantees of any kind, whether express or implied, including but not limited to, the implied warranties of title, non-infringement, merchantability and accuracy, as well as any warranties implied by usage of trade, course of dealing or course of performance. To the extent permitted by law, we make no representations and do not warrant to you that our Platforms, Services or any third-party functionalities made available on our Platforms (a) are accurate, complete or up to date; (b) will always be available; (c) will meet your expectations; or (d) are secure or are free from errors, faults, defects, viruses or malware.

Third-Party Links and Advertisements: Where our Services or Platforms include links to third-party websites or resources, including advertisers, these are provided solely for informational purposes. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Goods2Load has not reviewed all the third-party websites linked to its Platforms and is not responsible for the content or accuracy of any off-site pages nor are we responsible for the availability of such external websites or resources, and do not endorse and are not responsible in any way for the privacy practices or the content of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any loss or damage in connection with the use of or reliance on any such content, or goods or services available on such external websites (including but not limited to fraud) or resources to the extent permitted by the applicable Law. Any advertising material submitted by third parties on our Platforms is solely the responsibility of the advertiser, and Goods2Load assumes no liability for any errors, omissions, or inaccuracies in such material.

Unauthorized Activities, Misrepresentation and Unofficial Offers: Goods2Load is not responsible for any fraud, misrepresentation, or unauthorized activities conducted by third parties using the Platforms, including any unofficial offers, advertisements, or contests falsely claiming association with Goods2Load.

Use of Platforms: To the maximum extent permitted by law, we (together with our officers, directors, employees, representatives, affiliates, providers and third parties) do not accept any liability for (a) any inaccuracies or omissions in the content displayed on or made available via our Services or Platforms, including third-party functionalities; or (b) any act of god, accident, delay or any special, exemplary, punitive, indirect, incidental or consequential loss or damage of any kind (including, without limitation, lost profits or lost savings), whether based in contract, tort (including negligence), strict liability or otherwise, incurred by you arising out of or in connection with your access to, use of, or inability to access or use, our Services or Platforms or their content.

Indemnity: Subject to these Terms, you will be responsible and liable to us for all actions, claims, proceedings, costs, damages, losses and expenses (including, without limitation, legal fees) incurred by us, and each of our officers, directors, employees and agents, arising out of or in any way connected with your misuse of our Services or Platforms or breach of these Terms.

Consumer Protection: Nothing in these Terms is intended to limit or exclude any liability that cannot be excluded or limited by law.

Maximum Liability: Subject to these Terms and to the extent permitted by law, our maximum aggregate liability to you arising out of or in connection with these Terms or your access to, use of, or inability to access or use, our Services or Platforms shall be limited to the sum of AED 1,000 (One Thousand UAE Dirhams).

General Provisions:

Assignment: These Terms are personal to you. You shall not be entitled to assign these Terms in whole or in part to any third party without our prior written consent.

Entire Agreement: These Terms represent the entire agreement between us and you and supersede and replace all and any previous terms, conditions, agreements and arrangements in respect of your use of our Services or Platforms.

Non-Waiver: Any failure by us to enforce any of these Terms shall not be a waiver of them or limit the right to subsequently enforce any of these Terms.

Severability: The invalidity or unenforceability of any provision (in whole or part) of these Terms shall not affect the validity or enforceability of the remaining provisions (in whole or part). The whole or part of any provision which is held by a court of competent jurisdiction to be invalid or unenforceable shall be deemed deleted from these Terms.

Non-Application to Third-Party: A person who is not a party to these Terms shall have no right to enforce any provision of these Terms.

Language: If these Terms of Service are translated into any other language and there is a discrepancy between the English text and the text in the other language, the English text version will prevail to the fullest and maximum extent permitted by applicable Law.

Force Majeure: We shall not be liable for any failure to perform our obligations under the Terms of Usage if such failure is caused by events or circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, epidemics, pandemics, natural disasters, or any other similar event.

Termination: Goods2Load may in its absolute discretion immediately terminate any agreement with you under these Terms at any time upon notice to you and/or, if you have an account with Goods2Load, by cancelling your membership and your access to your account and removing any User Content you have uploaded to our Services or Platforms. Goods2Load may suspend your access and use in whole or in part without notice at any time, for example to prevent you from uploading any User Content, without incurring any liability to you whatsoever. You may terminate your account by writing to us at legal@goods2load.com and cease using the Services. Upon receipt of such notice, Goods2Load will deactivate your account and cease providing Services to you. Any outstanding obligations or liabilities incurred prior to termination will remain in effect. Goods2Load reserves the right to retain any data or information you have provided in accordance with our Privacy Policy. Goods2Load will not be liable for any claims or damages arising from your decision to terminate your account.

Remedies for Breaches: In the event of any breach of these Terms or applicable laws, Goods2Load reserves the right to pursue all available remedies, including suspending or terminating your access to the Services, seeking injunctive or equitable relief, recovering damages, and withholding Services. You agree to indemnify Goods2Load for any losses, costs, or legal fees arising from such breaches. Goods2Load may also recover any costs incurred in legal actions taken due to the breach. All remedies are cumulative, and failure to enforce any provision does not constitute a waiver of Goods2Load’s rights.

Definition of Law(s): For the purposes of this Agreement, “Law(s)” refers to all applicable laws and statutes of the United Arab Emirates, as well as any regulations, ordinances, codes, rules, directives, and guidelines issued by its governmental or regulatory authorities. This also includes, without limitation, regulations on Anti-Money Laundering (AML), import and export laws, customs regulations, money exchange laws, and any other applicable laws or binding court orders or decisions relevant to this Agreement and the activities contemplated herein. “Law(s)” also refers to any other relevant laws of other jurisdictions where Goods2Load may be legally operating or that may apply to users by virtue of their activities under this Agreement.

Dispute Resolution: In the event of a dispute with Goods2Load, we encourage you to first seek resolution by contacting us directly at legal@goods2load.com for the attention of the Legal Department. We will carefully review your complaint and strive to resolve it promptly. If we are unable to settle the dispute amicably, then the dispute, including issues related to the Terms, their formation, and any non-contractual matters, will be governed by the law of the Dubai International Financial Centre (DIFC), United Arab Emirates as applicable in the DIFC and interpreted accordingly. You irrevocably consent to the exclusive jurisdiction of the DIFC Courts to resolve any disputes or claims associated with or arising out of your use of the Platforms or these Terms of Service, including their validity, application, or termination, and any related contractual or non- contractual obligations. This clause shall apply irrespective of the country from which you access or use Services or Platforms.
